Services Overview
Magnolia Healthcare is a licensed insurance agency and technology provider. We offer independent insurance agents access to carrier contracts, commission programs, training, support, and the MagnoliaOS operating system. Specific services, commissions, and carrier availability are subject to separate agreements and carrier requirements.
Agent and Agency Eligibility
To contract with Magnolia, you must hold active, valid insurance licenses in the states where you intend to sell, maintain required errors and omissions coverage, and satisfy carrier and compliance requirements. Agencies must provide accurate principal agent and agent-of-record information. Misrepresentation may result in termination.
Account and Access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate access for violations of these terms or applicable law.
Intellectual Property
All content, software, trademarks, and materials on our website and within MagnoliaOS are owned by Magnolia Healthcare or its licensors. You may not copy, modify, distribute, sell, or lease any part of our platform without our prior written consent. MagnoliaOS is proprietary software owned by Magnolia Healthcare.
Prohibited Conduct
You agree not to use our services for any unlawful purpose, transmit malware or harmful code, attempt to gain unauthorized access, interfere with platform performance, misrepresent your identity or licensing status, or engage in conduct that harms Magnolia, our carriers, or our clients.
Commissions and Compensation
Commission schedules, bonuses, and payment terms are governed by the applicable agent agreement and commission plan. All amounts are subject to carrier validation, chargebacks, and compliance with applicable regulations. Marketing bonuses and renewal bonuses are described in the relevant commission materials and may change over time.
Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. While we work hard to keep MagnoliaOS accurate and reliable, we do not guarantee uninterrupted access, error-free operation, or specific business results. Your use of the platform is at your own risk.
Limitation of Liability
To the fullest extent permitted by law, Magnolia Healthcare and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services.
Indemnification
You agree to indemnify and hold harmless Magnolia Healthcare from any claims, damages, losses, or expenses arising out of your use of our services, your violation of these terms, or your violation of any rights of a third party.
Termination
Either party may terminate the relationship as provided in the applicable agent agreement. Upon termination, your access to MagnoliaOS and carrier appointments may be suspended or revoked, and any outstanding obligations will survive termination.
Governing Law
These Terms of Service and any disputes arising from them will be governed by the laws of the State of Florida, without regard to conflict of law principles. Any legal action will be brought in the state or federal courts located in Broward County, Florida.
Changes to These Terms
We may update these Terms of Service from time to time. The updated terms will be posted on this page with a revised effective date. Continued use of our services after changes means you accept the updated terms.
